REQUEST FOR QUALIFICATIONS: PURCHASER’S COUNSEL – TEXAS PUBLIC FINANCE TRANSACTIONS
The North American Development Bank (NADBank), an international financial organization governed and capitalized in equal parts by the Governments of the United States and Mexico, is seeking proposals from law firms interested in providing purchaser’s counsel services for public finance transactions in Texas.
In order to advance its mission of improving the environment of the U.S.-Mexico border region to improve the health and well-being of border communities, from time-to-time NADBank provides financing in the form of purchases of public sector bonds to construct environmental infrastructure projects. NADBank requires representation from qualified law firms in carrying out these transactions, which often differ in certain respects from typical public finance transactions due to NADBank’s international status.
The legal services to be provided will be those typical for purchaser’s counsel for public finance transactions in Texas, as well as certain NADBank-specific tasks, such as written confirmation of NADBank’s special terms and conditions in the transaction documentation. Review of the bond transcript on behalf of NADBank immediately prior to closing is also required.

There is no specific deadline for submission of qualifications. Qualified firms will be included in NADBank’s short list of consultants available for relevant assignments and from time to time may be invited to submit proposals for specific assignments as needs arise.
